These Terms & Conditions describe the proposed rules for using The Fold website, app, and related community services (the “Services”), operated by Rens LLC (“The Fold,” “we,” “us,” or “our”). Once finalized and made effective, these terms will govern your use of the Services.

1. Membership and Eligibility

The Fold is a private, invitation-only community for investors and dealmakers. Membership is subject to our approval and applicable eligibility requirements. You must be at least 18 years old and legally able to enter into an agreement. Features or opportunities intended for accredited investors may require additional eligibility verification.

You agree to provide accurate information, keep your account details current, protect your login credentials, and promptly notify us of suspected unauthorized access. Invitations and accounts may not be transferred without our permission.

2. Information and Investment Decisions

The Services support discovery, communication, and collaboration. Unless expressly stated in a separate written agreement, content, introductions, and discussions are for informational purposes and do not constitute investment, financial, legal, or tax advice, an offer to sell securities, or a recommendation to make a particular investment.

You are responsible for independently evaluating opportunities, verifying information and counterparties, and obtaining appropriate professional advice. Investments involve risk, including the possible loss of your entire investment. We do not guarantee returns, the accuracy of member submissions, or the outcome of any introduction or transaction.

3. Alfred and AI-Assisted Features

Alfred and other AI-assisted features may help summarize information, suggest connections, or assist with tasks. AI-generated output can be inaccurate, incomplete, or outdated. Review and independently verify it before relying on it, sharing it, or authorizing an action. These features do not replace your judgment or professional advice.

4. Community Conduct

You agree to use the Services lawfully and respectfully. You must not:

• Misrepresent your identity, qualifications, affiliations, or investment opportunities.
• Post unlawful, fraudulent, misleading, abusive, discriminatory, or infringing content.
• Harass other members, send unsolicited spam, or use member information for unauthorized solicitation.
• Disclose confidential information or material nonpublic information unlawfully, or engage in market manipulation or insider trading.
• Access accounts without permission, introduce malicious software, scrape member data, or interfere with the security or operation of the Services.

5. Your Content and Confidentiality

You retain ownership of content you submit. You confirm that you have the rights and permissions needed to share it. You grant us a nonexclusive license to host, store, reproduce, and display that content only as needed to operate the Services and make it available to the audience you select, consistent with our Privacy Policy.

Respect the confidentiality of member discussions and materials. Do not distribute another member’s private information or content outside its intended audience without permission or a legal requirement. A private community cannot guarantee that every recipient will maintain confidentiality; obtain separate confidentiality agreements when appropriate.

6. Our Intellectual Property

The Fold name, branding, software, and other materials we provide remain the property of Rens LLC or their respective owners. We grant approved members a limited, nontransferable right to use the Services for their intended purpose. You may not copy, sell, or exploit our materials beyond that permission or rights available under applicable law.

7. Privacy

Our Privacy Policy explains how we collect, use, and protect personal information. Please review it before providing information through the Services.

8. Third Parties and Fees

Members may share links, services, and opportunities offered by third parties. Their own terms apply, and their inclusion does not by itself constitute our endorsement. Transactions between members or third parties are subject to the agreements those parties make.

If we offer paid features or membership plans, the applicable fees, payment terms, and cancellation conditions will be presented separately before you agree to purchase them.

9. Availability and Liability

To the extent permitted by applicable law, the Services are provided “as is” and “as available,” without warranties of uninterrupted availability, accuracy, or suitability for a particular purpose.

To the extent permitted by applicable law, Rens LLC will not be liable for indirect or consequential losses arising from use of the Services, including lost profits or opportunities. Nothing in these terms excludes liability or limits rights that cannot lawfully be excluded or limited.

10. Suspension and Termination

We may restrict access or remove content when reasonably necessary to address violations of these terms, protect members or the Services, or comply with law. You may stop using the Services at any time and contact us to request account closure. Handling of retained personal information is described in our Privacy Policy.

11. Changes

We may update the Services and these terms. Finalized terms will identify their effective date, and we will provide notice of material changes and obtain any acceptance required by applicable law.
